GENERAL TERMS


CONTRACTING PARTIES AND THE SCOPE OF THE AGREEMENT

This is a license agreement (“Agreement”) between Kielikone Oy and you (“You”)
as a user of Kielikone Oy’s Sanakirja.fi service. In case of discrepancies
between this Agreement and any special terms and conditions of Sanakirja.fi or
its chargeable features, the special terms and conditions shall prevail.


ENTERING INTO THE AGREEMENT

You agree to be bound by the terms and conditions of this Agreement by accepting
the Agreement in Sanakirja.fi or by taking Sanakirja.fi into use, or by
otherwise making use of Sanakirja.fi. You must be at least 13 years of age to be
able to sign up to Sanakirja.fi. If You do not agree to the terms and conditions
of this Agreement, Kielikone Oy will not grant You the right to use
Sanakirja.fi. In such a case You are not allowed to use or otherwise make use of
Sanakirja.fi.


AMENDING THE AGREEMENT

Kielikone Oy has the right to make amendments of specifying and/or technical
nature to this Agreement. The amendments will come into effect when Kielikone Oy
posts the amended Agreement on its website or otherwise informs You of the
amendments, for example by posting the amendments in Sanakirja.fi or by sending
You an e-mail. In case You have any questions relating to this Agreement You
should contact Kielikone Oy.


USING SANAKIRJA.FI


SANAKIRJA.FI AND CHARGEABLE FEATURES

Sanakirja.fi is an online dictionary and vocabulary learning service provided by
Kielikone Oy. Sanakirja.fi is accessed on a computer or mobile device using one
of the supported web browsers (the two most recent versions of the web browsers
Chrome, Edge, Firefox or Safari). Some features of Sanakirja.fi are free of
charge while other features, such as MOT Sanakirjat® and MOT Kielipalvelu®,
require that You pay a fee before You can use them. Read more about Sanakirja.fi

YOUR USER LICENSE

When You have agreed to the terms and conditions of this Agreement, Kielikone Oy
grants You the right to use Sanakirja.fi for its customary purpose and in
accordance with the terms and conditions of this Agreement. With this Agreement
Kielikone Oy grants You one (1) user license. The user license is personal and
the license remains in force until this Agreement is terminated either by You or
Kielikone Oy. Transferring the user license to other users or sharing it with
other users is prohibited. Kielikone Oy grants You only those rights that are
explicitly mentioned in this Agreement. All rights not granted to You in this
Agreement, including copyrights and other intellectual property rights, shall
remain solely with Kielikone Oy.


CODES

Kielikone Oy or its partners may, from time to time, offer You a code (“Code”)
which will give You access to the chargeable features in Sanakirja.fi for a
limited time period. A Code may be accompanied by special terms and conditions
relating to the use of Sanakirja.fi and You agree to be bound by such terms and
conditions.


TRIAL PERIODS

Kielikone Oy may, from time to time, offer You a trial period for the chargeable
features in Sanakirja.fi for free or for a reduced price (“Trial Period”).

Kielikone Oy offers Trial Periods, if any, at its will and has the right to
limit the use of Sanakirja.fi during a Trial Period in order to prevent any
misuse of the service. Kielikone Oy has the right to terminate a Trial Period in
case You are not entitled to a Trial Period, or for any other reason as
Kielikone Oy deems necessary.


CONTENT CREATED BY USERS


WORD LISTS

You may be able to place, attach, send or otherwise include in Sanakirja.fi’s
Word list section material whose intellectual property rights do not belong to
Kielikone Oy or its partners. You, or any third party who owns the intellectual
property rights, shall maintain these rights of such material. You, however,
accept and agree that Kielikone Oy shall have perpetual, unlimited and
gratuitous right to use and transfer, in whole or in part, amended or unamended,
any material included in Sanakirja.fi by You.

You shall be fully responsible for any and all material included in
Sanakirja.fi’s Word list section by You. You guarantee that such material, and
the rights granted to Kielikone Oy above, are not in breach of any intellectual
property rights or other protected rights of any third party, and that the
material is not in breach of this Agreement or any special terms and conditions,
and that the material is not illegitimate or offensive, or hazardous to
Sanakirja.fi, other users, data networks or any third parties.

Kielikone Oy shall have the right to prevent any such use of Sanakirja.fi and
remove any such material, which is illegitimate or offensive or in breach of any
protected rights of any third party, or which obstructs or excessively burdens
Sanakirja.fi or data networks, threatens data security, is harmful to other
users, third parties or Kielikone Oy, or which is in breach of this Agreement,
any special terms and conditions, or any other rules or regulations relating to
the use of Sanakirja.fi. Kielikone Oy shall have the right, when it deems
necessary and without any preceding notice, to prevent You from using
Sanakirja.fi. You shall be liable for any damages caused by You to Kielikone Oy
or third parties.


MOT SANASTOT®

If your organization has made a separate agreement with Kielikone Oy concerning
MOT Kielipalvelu® and MOT Sanastot®, your organization’s Sanakirja.fi service
might include vocabularies owned and maintained by your organization. The
intellectual property rights of these vocabularies remain with your
organization, and Kielikone Oy will not use or distribute the vocabularies in
any way, except when providing the Sanakirja.fi service to your organization.


MOT SANAKIRJAT®, MOT KIELENTARKISTIN® AND MOT KÄÄNTÄJÄ®

Kielikone Oy may utilize interfaces created by carefully selected and reliable
third parties to provide certain features in Sanakirja.fi. Such Kielikone Oy
partners may make linguistic analyses of the text You input in Sanakirja.fi to
improve the services they offer.

The data You enter in MOT Sanakirjat®, MOT Kielentarkistin® or MOT Kääntäjä®
will never be linked to your user account. The data You input will only be
stored for the amount of time that is necessary to provide the Sanakirja.fi
service.


COPYING AND MODIFYING SANAKIRJA.FI

Any and all copying and distributing of the material included in Sanakirja.fi,
or making the same otherwise available to the public, is prohibited, unless such
action is specifically permitted in this Agreement or in mandatory provisions of
applicable law. It is prohibited to make any changes into Sanakirja.fi or any
material included therein (except the material referred to in paragraph 3
above), and You are not allowed to modify, reverse engineer, decompile or
disassemble Sanakirja.fi, except to the extent expressly permitted by mandatory
law. Sanakirja.fi must not be combined with or used as a part of other products,
services or programs without the prior written permission of Kielikone Oy.


USER IDENTIFICATION AND PASSWORDS

You must store any user identification, passwords and Codes, or other similar
identification information in a secure manner and make sure that they cannot be
accessed by any third parties. In case any of the user identification
information has been accessed by a third party, or there is reason to suspect
this might have occurred, You must immediately notify Kielikone Oy thereof.


PAYMENTS AND CANCELLATION


CANCELING A SUBSCRIPTION

When You place a subscription on the chargeable features of Sanakirja.fi on the
Internet, You have the right to cancel your subscription within fourteen (14)
days from placing the subscription. If, however, You start using Sanakirja.fi
during that 14-day period, You no longer have the right to cancel your
subscription. (Please note, however, that section 2.4. shall be applied to
purchases with a Trial Period.)

You can cancel your subscription during the 14-day period in Sanakirja.fi on the
My account page.

If You have effectively cancelled your subscription during the 14-day period,
your money will be refunded and You shall have no right to use the chargeable
features of Sanakirja.fi.


PRICES AND CHARGEABLE SUBSCRIPTIONS

You can purchase chargeable MOT Sanakirjat® subscriptions in Sanakirja.fi by
paying a monthly or yearly fee. The applicable prices of the chargeable features
of Sanakirja.fi are available on the Sanakirja.fi subscription page or My
account page.

Team subscriptions are always based on a monthly fee. In team subscriptions the
fee for the first month is always a basic fee which is the fee for the first
user based on the current price list. In the next subscription periods the fee
is based on the number of users the team has contained during the past
month-long subscription period. The fee for team subscriptions is invoiced in
the beginning of each subscription period.

Chargeable MOT Kielipalvelu® subscriptions can be purchased by contacting
Kielikone Oy’s sales team by e-mail at sales@kielikone.fi.

Your chargeable subscription will be automatically renewed at the end of the
subscription period if You do not cancel it before the ongoing subscription
period closes. You can cancel your MOT Sanakirjat® subscription purchased from
Sanakirja.fi on the My account page. If you have purchased your MOT Sanakirjat®
or MOT Kielipalvelu® subscription from a Kielikone Oy salesperson, you can
cancel your subscription by contacting the sales team by e-mail at
sales@kielikone.fi.

If a chargeable feature has been purchased using a Code, the subscription shall
be terminated automatically at the end of the period specified by the Code.

Kielikone Oy may change the prices of the chargeable features, and in such a
case Kielikone Oy shall inform You of the changes in advance. Price changes in
the chargeable features of Sanakirja.fi shall be applied from the beginning of
the next subscription period. Should You not accept the price change, You have
the right to cancel your subscription before the price change comes into force.


TERM AND TERMINATION

This Agreement, including the user license, shall be valid until terminated
either by You or by Kielikone Oy. Both parties have the right to issue a notice
of termination at any time. The Agreement shall, however, remain in force as
long as any chargeable subscription is in force.

Kielikone Oy has the right to terminate this Agreement with immediate effect if
You fail to comply with any provision of this Agreement. Kielikone Oy shall not
be liable to refund or compensate any part of the paid fees in case the
Agreement is terminated due to non-compliance by You.

When the Agreement is terminated, for any reason, your license to use
Sanakirja.fi is terminated, and You must immediately stop using Sanakirja.fi.
However, the Agreement will be valid until You delete your Sanakirja.fi user
account.

UPDATES

Kielikone Oy reserves the right to modify Sanakirja.fi by adding or removing
features in connection with any update, provided that the basic use of
Sanakirja.fi is still possible after such update.


WARRANTY AND DEFECTS

Kielikone Oy strives to keep Sanakirja.fi available 24/7. However, Sanakirja.fi
may be unavailable without prior notice due to technical difficulties,
unexpected service or repair measures or other similar reasons not attributable
to Kielikone Oy.

Sanakirja.fi is provided "as is" without any warranty or commitment of any kind
regarding its quality or features. Kielikone Oy does not warrant, guarantee or
make any representations regarding the use or usability, results of use,
correctness, suitability for a particular purpose, or accuracy of Sanakirja.fi.
You shall use Sanakirja.fi at your own risk.

In case of defects in Sanakirja.fi, Kielikone Oy shall always have the right to
fix the defects by providing a new Sanakirja.fi for example in connection with
the next update. Kielikone Oy shall have no other responsibility for fixing or
removing defects.

No oral instructions, advice or promises shall be binding on Kielikone Oy.

This clause does not limit the rights that You may have based on the mandatory
legislation for consumer protection, such as the Consumer Protection Act.


LIMITATION OF LIABILITY

In no event shall Kielikone Oy be liable for any indirect, consequential or
incidental or other similar unpredictable damages. In all cases the maximum
liability of Kielikone Oy for any damages shall be limited to the price paid by
You to Kielikone Oy during the past twelve (12) months for Sanakirja.fi.


PLACE OF JURISDICTION AND APPLICABLE LAW

Any disputes relating to this Agreement shall be finally settled by arbitration.
The arbitrator or arbitrators shall be appointed by the arbitration board of the
Finnish Central Chamber of Commerce, and the arbitration shall follow the
regulations of said board. However, if You are a consumer, You may take legal
action in a general court of law or take the case to the Consumer Disputes
Board. This Agreement as well as the settlement of any dispute relating to this
Agreement are governed by the laws of Finland, excluding the rules of the choice
of law.


NOTICE RELATING TO TRADEMARKS

The products and services provided by Kielikone Oy may include words, which are,
or which are claimed to be, protected trademarks. When Kielikone Oy is aware
that such a word is, or may be, in question, a remark thereof is added to such
word. No legal assumptions relating to the protection, or the lack of
protection, of a particular word can be made based on such remark, or the lack
of such remark. Kielikone Oy shall not be in any way responsible for the
correctness of the remarks or the lack of such remarks in its own or licensed
content. Any and all trademark owners should be verified using official
registers, if necessary.
