WHO WE ARE

The Chainalysis Website is operated by Chainalysis Inc. (“Chainalysis”) with a
mailing address of 228 Park Avenue South, #23474, New York, New York 10010. We
are a blockchain analysis company providing blockchain analytics, compliance,
and investigation offerings to banks, businesses, and governments. This Policy
sets out how we collect, use, disclose, and otherwise process Personal Data from
you or about you.


RESPONSIBLE CHAINALYSIS ENTITY

Data privacy laws sometimes differentiate between “controllers” and “processors”
of personal information. A “controller” determines the purposes and means (i.e.,
the why and how) of processing personal information. A “processor”, which is
sometimes referred to as a “service provider,” on the other hand processes
personal information on behalf of a controller subject to the latter’s
instructions and corresponding contractual restrictions. Chainalysis is the
controller of Personal Data (defined below) as described in this Policy unless
otherwise noted. This Policy does not generally apply to the company’s
processing activities in its capacity as a processor or service provider.

As Chainalysis is based in the U.S, Chainalysis Inc. has appointed a UK and an
EU representative under Article 27 of the GDPR, as follows:

 * UK Representative: Chainalysis LTD, which is based in the United Kingdom.


WHAT DO WE MEAN BY “PERSONAL DATA”?

This Policy relates only to Personal Data, and not to any data we have collected
that is anonymous or aggregated. As defined in this Policy, Personal Data does
not include anonymized information or aggregated data that we may collect about
a group or category of services, features or users that does not relate to an
identified or identifiable natural person.

Children’s Personal Data

Chainalysis does not intend to, or knowingly, collect or solicit any Personal
Data from children under the age of 13, nor are the Services directed to
children under the age of 13. If you are under the age of 13, please do not use
our Service or otherwise provide us with any Personal Data either directly or by
other means. We encourage parents and legal guardians to monitor their
children’s Internet usage and to help enforce our Policy by instructing their
children never to use our Service or provide Personal Data to us. If you have

marketing communications, become a trainee at the Chainalysis Academy, become a
user of our forum, contact us, send us feedback, otherwise interact with us, and
when we perform our Services in general. This Personal Data is collected either
directly from you, such as when you register with us, or automatically, such as
through your browsing activity while using the Chainalysis Website, or when we
are collecting Personal Data from other sources for our Services, which may
include receiving Personal Data from suppliers we have engaged or from

Services you have requested and/or activities being carried out and could

When and why do we require Personal Data from you?

When you are requesting Services from us, we will inform you whether you are
required to provide Personal Data to us for the purposes of providing you with
the Service you have requested. If you choose not to provide such information
then you might not be able to take advantage of the relevant Services being
requested.


THIRD-PARTY SERVICES

The Chainalysis Website and/or the Service may contain links to websites and
applications other than the Service, including websites, services and
applications operated by affiliates and other third parties. The Chainalysis
Website sometimes may also include third-party Social Media features, such as
the Facebook Like button and Widgets, such as the Share this button or
interactive mini-programs, that run on our site. These third-party features may
collect your IP address and which web page you are visiting on our website, and
may set a cookie to enable the feature to function properly. Social Media
features and Widgets are either hosted by a third party or hosted directly on
the Chainalysis Website.

If you submit Personal Data to any third parties or through third-party services
or applications, the processing of your Personal Data is governed by their
privacy policies, however, we will take the steps described in ‘Section –
Cookies’ to make you aware of any third-party cookies being placed and to
provide you with information about how to exercise control over them, when
available.


PUBLIC BLOGS AND FORUMS

Through our Service and the Chainalysis Website, we may also offer
publicly-accessible blogs or community forums. You should be aware that any
information provided in these areas may be read, collected, and used by others
who access them. To request removal of your Personal Data from our blog or
community forum, you may remove your posted content by deleting your message, or
alternatively, contacting us at privacy@chainalysis.com. In some cases, we may
not be able to remove your Personal Data, in which case we will let you know if
we are unable to do so and why. Please note that your use of any such blogs or
forums is always subject to the terms and conditions applicable to such blogs or
forums as in force from time to time.


OUR LEGAL BASIS FOR PROCESSING PERSONAL DATA

For people based in the UK and/or EEA only, when we use your Personal Data,
under the UK GDPR and the EU GDPR, we are required to have a legal basis for
doing so. If you are based elsewhere in the world this section does not apply to
you and your local privacy laws may apply. Here, we set out the various legal
bases on which we may rely, depending on what Personal Data we process and why.

As a summary, the legal bases we may rely on if you are a UK or an EEA citizen
include:

 * consent: where you have given us clear consent for us to process your
   Personal Data for a specific purpose;
 * contract: where our use of your Personal Data is necessary for a contract we
   have with you, or because you have asked us to take specific steps before
   entering into a contract;

Further details on when we collect Personal Data (wherever you are based), what
we collect as well as how and why we use it, is set out below. Please note that
where we rely on your consent, we will not rely on any other legal basis.

Registering customers

When you register with us to receive our Services (such as our web-based
services, the Chainalysis Academy, our forum, and our conferences and webinars),
we may process your contact details; credit card information (when you make a
purchase); professional information such as your role and company name; IP
address and device information; and transaction information such as purchase and
subscription information or courses followed. We ask for this data to create and
manage your account with us; to communicate with you about your account; and to
provide you with the Service. We rely on your consent, our legitimate interests,
and the fulfillment of a contractual obligation as the lawful basis for
collecting and using your Personal Data. Our legitimate interests are to provide
you with the Service you have requested and to ensure we deliver the Service
with the appropriate quality. 

Providing our Services

When you use the Service or when we provide our Service, we may process your
contact details; professional information such as your role and company name;
the login and connection information used to enable the Service; your
educational information (when you sign up to the Chainalysis Academy or for any
conferences or webinars); your IP address and device information; Chainalysis
forum posts (where applicable); feedback to us; or Chainalysis customer support
interactions. We use this Personal Data to operate or provide the Service; to
carry out security checks; to fulfill our commitments to you; to contact you
about your use of the Service; and to generally improve the quality of the
Service. We rely on legitimate interests and the fulfillment of a contractual
obligation as the lawful basis for collecting and using your Personal Data. Our
legitimate interests are to provide you with the Service you or your company
have requested and to ensure we deliver the Service with the appropriate
quality. 

Providing the Service to you if are an Agent or an End User

Regarding your capacity as an Agent or End User (as those terms are defined
above), we may process your contact details; professional information such as
your role and company name; the login and connection information used to enable
the Service; your educational information (when you sign up to the Chainalysis
Academy or for any conferences or webinars); your IP address and device
information; and Chainalysis forum posts (where applicable). We ask for this
Personal Data to create and manage your account with us; to communicate with you
about your account; and to provide you with the Service. We rely on legitimate
interests and the fulfillment of a contractual obligation as the lawful basis
for collecting and using your Personal Data. Our legitimate interests are to
provide you with the Service you or your company have requested and to ensure we
deliver the Service with the appropriate quality. 

Marketing operations

When you sign up for marketing with us, including signing up for webinars and
conferences, or when we think you may be interested in our Services, we may
process your contact details and your marketing preferences. We may use this
Personal Data to provide you with marketing if we think you will be interested
in our Service or if you sign up to receive marketing from us. We always carry
out marketing activities on the basis of your consent or opt-in when we are
legally required to do so. However, we may also be able to rely on implied
consent in some circumstances, such as if you previously contacted us about our
products and Services, you previously subscribed to our Services, you were
provided the opportunity to opt-out of such marketing and did not do so, etc.
See the section on “Marketing” for additional information.

Addressing fraud and security threats

To prevent and detect fraud and unauthorized access to our customers’ accounts
or the Services and our systems, we may process contact details; professional
information such as your role and company name; the login and connection
information used to enable the Service; your IP address and device information.
We rely on legitimate interests as a lawful basis to use this Personal Data to
minimize fraud and security issues that could be damaging for us and for you. 

Compliance requirements

To conduct security and identity checks, and to comply with other legal and
regulatory requirements for screening individuals, we may process contact
details; professional information such as your role and company name; the login
and connection information used to enable the Service; your IP address and
device information; and transaction information. We use this Personal Data to
carry out identity and credit checks and address other KYC and compliance
obligations. We rely on our legitimate interests and compliance with legal
obligations to do this to process this information. 

Analytics 

To monitor how you use the Chainalysis website and the Service, and make
improvements or modifications that we consider necessary, we may process your IP
address and device information and transaction information. We rely on your
consent when such Personal Data is collected via non-essential cookies and also
our legitimate interests to deliver and improve our products and Services as our
lawful basis. 


COOKIES

Technologies such as cookies are used by Chainalysis and our marketing partners,
affiliates, or analytics or service providers. A cookie is a small text file
which is placed onto your device (e.g. a computer, smartphone or other
electronic device) when you use the Chainalysis Websites or Services. We and our
third-party partners and providers may also use other similar technologies, such
as web beacons, pixels, embedded scripts and logging technologies (collectively,
“cookies”) to automatically collect certain Personal Data when you visit or
interact with our Services.

Cookies help us to analyze trends, administer the site, track users’ movements
around the site and gather demographic information about our user base as a
whole, keep an Agent or End User logged into the Service and remember relevant
information when the Agent or End User returns to the Service, understand
preferences and improve user experience, and track and analyze usage,
navigational and other statistical information from visitors to the Chainalysis
Websites. We may monitor, for example, the number of times you visit the
Chainalysis Websites, which pages you go to and traffic data.

Consent to cookies and changing settings

We will ask for your permission to place cookies or other similar technologies
on your devices, except where they are essential for us to provide you with a
service that has been requested, for example, to allow us to remember log-in
details. You may withdraw consent or manage any other cookie preferences by

refresh the page for the updated settings to take effect. In addition, certain

customer of Chainalysis, it is your responsibility to inform the individuals

to the types of cookies utilized in the Service and, as necessary, to obtain

Certain of our third-party providers may directly collect Personal Data about

you use our Services for purposes of providing behavioral or interest-based

for online behavioral advertising published by the Digital Advertising Alliance.
These principles allow individuals to exercise choice regarding the collection
of information about online activities over time and across third-party websites
and applications for online interest-based advertising purposes. More

If you want to opt-out of receiving online interest-based advertisements on your
internet browser from advertisers and third parties that participate in the
Digital Advertising Alliance program and perform advertising-related services
for us and our partners, please follow the instructions at

place an opt-out cookie on your device indicating that you do not want to
receive interest-based advertisements. Opt-out cookies only work on the internet
browser and device they are downloaded onto. If you want to opt out of

third-parties’ opt-out options or programs or the accuracy of their statements
regarding their programs. In addition, third parties may still use cookies to
collect information about your use of our Services, including for analytics and
fraud prevention as well as any other purpose permitted under the Digital
Advertising Alliance’s principles.


MARKETING

Where we have your consent to do so or where otherwise permitted by law, we may
send you information about the Services, including features you may be
interested in, for example, by postal mail, email or telephone. Some of these
communications may include marketing materials. If you would like to opt-out of
getting marketing communications from Chainalysis please contact us at
privacy@chainalysis.com or follow the available opt-out or unsubscribe
instructions included in each communication. Please note that we may still
continue to send you transactional and other non-marketing communications, for
example, messages about products or services you or your organization have
requested, events you’ve registered for, service level or security-related
announcements even after you opt out.


WHO WE SHARE YOUR PERSONAL DATA WITH

Chainalysis shares your Personal Data with third parties and for the purposes
described below. We may share your Personal Data among other subsidiaries or
affiliates that either follow this Policy or have practices at least as
protective as those described in this Policy.

Third-party service providers and vendors

In certain circumstances, third-party service providers or vendors that
Chainalysis has engaged to perform business functions on our behalf might have
access to your Personal Data. Such parties may include:

 * Service and hosting partners to provide the necessary hardware, software,
   networking, storage, and other services we use to operate the Service and
   maintain a high-quality user experience;
 * Bank(s); and,
 * Professional advisors, such as accountants, lawyers, consultants, and tax
   specialists.

We allow our service providers to handle your Personal Data to the extent we are
satisfied they take the appropriate measures, depending on the jurisdiction they
are based in and the data subjects they deal with, to protect your Personal
Data. Where applicable, these measures may include professional obligations of
confidentiality and privilege. We also impose contractual obligations on service
providers to ensure they can only use your Personal Data to provide services to
us and to you or to receive our Services.

Third-party partners

We may make available to you services or products in collaboration with third
parties, for example, those that are jointly offered by Chainalysis and its
third-party partners or other businesses. We will make reasonable efforts to let
you know when a third party is involved, in which case we may share your
Personal Data with that third party.

In particular, if you register in order to participate in an event, webinar, or
training organized by us, or download or access material on our website, we may
share your Personal Data with partners that co-organize or sponsor these
activities and projects. If required by applicable law, we will seek your
consent or opt-in to such sharing, for instance, via the registration form or
another affirmative action by you. In these circumstances, your information will
be subject to the relevant partner’s privacy statements. If you do not wish for
your information to be shared in this manner, you may choose to not register for
the event or otherwise participate, or to not access the material, as the case
may be. Or, you can opt-out in accordance with the choices provided to you in
this Policy.

Payment Processors

We may share Personal Data with, or direct customers to provide such
information, to payment processors who process payment for services on our
behalf.

Marketing Partners

In some instances, we may share Personal Data with our marketing partners,
including ad networks, social networks, re-targeting partners and marketing
communication providers, in order to communicate with you about our products and
services and market our products and services to you. See the section on
“Cookies” for more information.

Business transactions

Chainalysis may take part in or be involved with a corporate business
transaction, such as a merger, acquisition, joint venture, or financing or sale
of company assets. We may assign or transfer this Policy, and your Personal
Data, to a third party during negotiation of, in connection with or as an asset
in such a corporate business transaction. Personal Data may also be disclosed in
the event of insolvency, bankruptcy, or receivership.

Legal obligations and rights

In addition to the purposes described above, we disclose Personal Data to third
parties, such as legal advisors and law enforcement, to respond to subpoenas,
court orders, or legal process, or to establish or exercise our legal rights or
defend against legal claims. We may also share such Personal Data if we believe
it is necessary in order to investigate, prevent, or take action regarding
illegal activities, suspected fraud, situations involving potential threats to
the physical safety of any person, violations of our agreement for services, or
as otherwise required by law.

Transfers directed or permitted by you

We may disclose personal information about you to certain other third parties at
your direction or with your consent or permission.


DATA TRANSFERS FROM THE EUROPEAN ECONOMIC AREA AND THE UK

Some of the third parties with whom we share Personal Data may be based outside
the European Economic Area or the UK. Chainalysis only transfers Personal Data
to countries outside the UK and EEA if that country has an adequate level of
protection according to the EU or EU Commission or the UK Government, if this is
specifically done on the basis of your consent when you provide your Personal
Data to us, or where we rely on a mechanism for protecting your Personal Data as
provided for in the UK and EU GDPR. For example, we may rely on the standard
contractual clauses published by the European Commission and similar measures
under UK laws when we share your Personal Data within the different Chainalysis
group entities.


EU-U.S. AND SWISS-U.S. PRIVACY SHIELD

As of July 16, 2020, we no longer rely on the Privacy Shield as an adequacy
mechanism to address European data protection requirements regarding the
transfer of personal data to the U.S. However, Chainalysis continues to comply
with the relevant Privacy Shield Principles for the personal data it previously
received from the European Union, United Kingdom, and Switzerland in reliance on
the Privacy Shield. Click here to learn more


DATA RETENTION

Chainalysis will retain Personal Data we process on behalf of our customers or
users contained in our databases or collect directly from our customers or about
users for as long as needed to provide the Service to our customers, subject to
our compliance with this Policy. We may further retain and use this Personal
Data as necessary, including by not limited to: complying with our legal
obligations (including in defense or pursuit of a legal claim), maintaining
accurate accounting, financial and other operational records, resolving
disputes, and enforcing our agreements. We have established internal policies
for the deletion of Personal Data from customer accounts following termination
of a customer’s subscription to the Service pursuant to our agreements with such
customers.


YOUR RIGHTS

Part 1: Rights if you live in the UK or the EEA

Citizens living in the UK and the EEA have certain rights when it comes to their
Personal Data, which can generally be exercised free of charge. The rights a UK
and an EEA citizen has (which will apply to Chainalysis customers and users
based in the UK and the EEA) are described below. These rights do not apply to
non-UK and non-EEA citizens and do not apply to anonymized or non-Personal Data.

 * Right of access: The right to be provided with a copy of your Personal Data 
 * Right to rectification: The right to require us to change or modify the
   Personal Data that you think is inaccurate 
 * Right to erasure (also known as the right to be forgotten): The right to
   require us to delete your Personal Data—some exceptions may apply 
 * Right to restriction of processing: The right to require us to restrict
   processing of your Personal Data—in certain circumstances, e.g. if you
   contest the accuracy of the data 
 * Right to data portability: The right to receive the Personal Data you
   provided to us, in a structured, commonly used and machine-readable format
   and/or transmit that data to a third party in certain situations 
 * Right to object: The right to object at any time to your Personal Data being
   processed for direct marketing (including profiling); and in certain other
   situations to our continued processing of your Personal Data, e.g. processing
   carried out for the purpose of our legitimate interests.
 * Right to not be subject to automated decision making: The right not to be
   subject to a decision based solely on automated processing (including
   profiling) without any human intervention that produces legal effects
   concerning you or similarly significantly affects you

If you are an individual based in the UK or the EEA and you would like to
exercise any of these rights described above, please write to us using the
contact details below under the Section ‘Contact us’, giving us enough
information in order to identify you and providing us with proof of your
identity and address, letting us know what right you want to exercise and the
information to which your request relates.

Under the UK and the EU GDPR, we are required to respond to you within 30 days
unless the request is complex or onerous. We will respond to you within this
timeline, either to let you know that we have complied with the request, to ask
for further information or an extension of time if this is required, or to
explain why we feel we are not able to comply with the request. If you do not
agree with our decision, you can make a complaint as outlined directly below.

We hope that we can resolve any query or concern you may raise about our use of
your Personal Data, so please do contact us or our UK or EU Representative (as
applicable) in the first instance. However, if we are unable to resolve your
query to your satisfaction, the UK and the EU GDPR gives both the UK and EEA
citizens a right to lodge a complaint with a supervisory authority.

Part 2: Rights if you’re based in the State of California in the United States

When we use the term ‘Personal Data’ in this Policy in relation to California
residents and when we use the term ‘Personal Information’ in this Part, we also
mean information that identifies, relates to, describes, is reasonably capable
of being associated with, or could reasonably be linked, directly or indirectly,
with a particular consumer or household.

In the last 12 months, we have collected the following categories of Personal
Information from California residents or households:

 * Identifiers, such as your name.
 * California Customer Records, such as your contact details, payment
   information, agent and end-user information, log-in and connection
   information, marketing preferences, and other personal details related to the
   Service.
 * Commercial Information, such as transaction information and blockchain
   information,
 * Internet/Network Information, such as log file data, analytics data, device
   information, and cookie data.
 * Professional/Employment Information, such as related business information.
 * Education Information, such as university, instructor or education provider.
 * Sensory Information, such as the sound of your voice from calls with us
   (where permitted by law).
 * Other Personal Information, such as inquiry and feedback information you
   choose to send us and forum information you add to the Chainalysis forum.
 * Inferences, such as predictions about which services may be of interest to
   you.

We collect and use this Personal Information as described in the ‘How Do We
Collect, Use and Share Your Personal Data?’ section above.

In the last 12 months, we have disclosed for business purposes all of the
categories of Personal Information outlined above to the recipients identified
in the ‘How Do We Collect, Use and Share Your Personal Data?’ section above.

Although we have not sold Personal Information in the last 12 months, we may in
the future engage in data transfers that constitute a sale under California law.
However, we will not sell the Personal Information of consumers we know to be
less than 16 years of age.

As a California resident, you may be able to exercise the following rights in
relation to the Personal Information about you that we have collected (subject
to certain limitations at law):

 * The Right to Know: You have the right to request any or all of the following
   information relating to the Personal Information we have collected about you
   or disclosed in the last 12 months, upon verification of your identity: 
   * The specific pieces of Personal Information we have collected about you; 
   * The categories of Personal Information we have collected about you; 
   * The categories of sources of the Personal Information we have collected
     about you; 
   * The categories of Personal Information that we have disclosed about you to
     third parties for a business purpose, and the categories of recipients to
     whom this information was disclosed; 
   * The categories of Personal Information we have sold about you (if any), and
     the categories of third parties to whom this information was sold; and 
   * The business or commercial purposes for collecting or, if applicable,
     selling Personal Information about you. 
 * The Right to Request Deletion: You have the right to request the deletion of
   Personal Information that we have collected from you, subject to certain
   exceptions. 
 * The Right to Opt Out of Personal Information Sales: You have the right to
   direct us not to sell Personal Information we have collected about you to
   third parties now or in the future.
 * The Right to Non-Discrimination: You have the right not to receive
   discriminatory treatment for exercising any of the rights described above.
   However, please note that if the exercise of the rights described above
   limits our ability to process Personal Information (such as in the case of a
   deletion request), we may no longer be able to provide you our products or
   services or engage with you in the same manner.

To exercise your right to know or right to deletion, please submit a request by
(i) filling out our online form or (ii) calling (888) 876-4875. We will need to
verify your identity before processing your request. In order to verify your
identity, we will generally either require the successful login to your account
or the matching of sufficient information you provide us to the information we
maintain about you in our systems. Although we try to limit the Personal
Information collected in connection with a request to exercise the right to know
and/or right to deletion to that Personal Information identified in our online
form, certain requests may require us to obtain additional Personal Information
from you. In certain circumstances, we may decline a request to exercise the
right to know and/or right to deletion, particularly where we are unable to
verify your identity.

Although we have not sold Personal Information in the last 12 months, we may in
the future engage in data transfers that constitute a sale under California law.

Do Not Sell My Personal Information

You do not need to create an account with us to exercise your right to opt out
of Personal Information sales. However, we may ask you to provide additional
Personal Information so that we can properly identify you in our dataset and to
track compliance with your opt out request. We will only use Personal
Information provided in an opt out request to review and comply with the
request. If you choose not to provide this information, we may only be able to
process your request to the extent we are able to identify you in our data
systems.

Once you make an opt-out request, you may change your mind and opt back in to
future Personal Information sales at any time by contacting us at
privacy@chainalysis.com.

In certain circumstances, you are permitted to use an authorized agent to submit
requests on your behalf through the designated methods set forth above where we
can verify the authorized agent’s authority to act on your behalf as follows.

For requests to know or delete Personal Information

 * Receiving a power of attorney valid under the laws of California from you or
   your authorized agent; or
 * Receiving sufficient evidence to show that you have:
   * (1) Provided the authorized agent signed permission to act on your behalf;
   * (2) Verified your own identity directly with us pursuant to the
     instructions set forth in these Disclosures; and
   * (3) Directly confirmed with us that you provided the authorized agent
     permission to submit the request on your behalf.

For requests to opt-out of Personal Information sales

 * Receiving a signed permission demonstrating your authorized agent has been
   authorized by you to act on your behalf.

We may deny a request in the event we are not able to verify the authorized
agent’s authority to act on your behalf.

Free Trials

For prospective customers who choose to provide us with their contact
information, we offer a free trial to our paid Services. Prospective customers
providing us with their contact information including their email address are
able to take advantage of the free trial and will be automatically signed up to
receive updates from Chainalysis. We have determined in good faith that the
value of the personal information we receive from you and the relationship we
establish is reasonably related to the value of the free offerings we provide.

You can request to opt in to our free trial by attending one of our training
sessions and providing us your contact information in connection with the offer.
You may withdraw from our free trial at any time by contacting our sales team at
support@chainalysis.com.

Part 3: Rights if you’re based in other jurisdictions

Correcting and updating your Personal Data

Customers may update or change the Personal Data they have provided Chainalysis
by logging into the Service and providing such additional information where
applicable. If you are our customer and would like to gain access to, or request
deletion of Personal Data we have collected as “data controllers,” please
contact us at privacy@chainalysis.com.

Individuals (and not Customers of Chainalysis) seeking access to, or who would
like to correct, amend, or delete Personal Data which may be stored in the
Service should direct their query to the applicable Chainalysis customer acting
as the “data controller” for such Personal Data.

How do I withdraw my consent for handling my Personal Data?

Where consent is the legal basis we rely on to process your Personal Data (such
as for communications and marketing purposes), you can revoke your consent at
any time, subject to applicable laws. To do this, please contact us using the
contact details below under the Section ‘Contact Us’, giving us enough
information in order to identify you and providing us with proof of your
identity and address, letting us know what Personal Data you would like to be
deleted. We will let you know if we can comply with this request, and the
applicable time frame for doing so.
