   Polsinelli congratulates its client CoolR Group
   (https://www.coolrgroup.com/), on its $10 million Series Seed Plus financing.
   CoolR Group is a Chantilly, Virginia-based automated ordering for brands
   using AI-based image recognition. The financing was led by VC investor First
   Analysis, with participation from Moneta Ventures and Remarkable
   Ventures. The financing will help drive growth and invest in R&D. More

   Big Win for Investors Facing Listed Transaction Penalties for Conservation
   Easements
   On November 9, 2022, in a 15-2 decision, the Tax Court held that the IRS
   improperly issued Notice 2017-10 in Green Valley Investors, LLC, et al. v.
   Commissioner of Internal Revenue, 159 T.C. No. 5. The Notice designated
   “syndicated” conservation easements as “listed transactions,” or a potential
   tax-avoidance schemes. Once a transaction is designated as a listed
   transaction, taxpayers and their advisors are obligated to provide the IRS
   with information and documentation related to the transaction and may be
   subject to additional accuracy-related penalties in IRS enforcement actions.

   Corporate Transparency Act Update - Part 1
   At the beginning of 2021, the U.S. Congress passed The Corporate Transparency
   Act (CTA), which established new beneficial ownership reporting requirements
   for both existing companies and newly formed companies. On September 30, 2022
   the US Treasury issued additional regulations interpreting the beneficial
   ownership reporting aspects of the Act. Compliance with the Act will be
   crucial for all companies that fall within the scope of CTA, and
   noncompliance or inaccurate compliance could lead to punitive civil and
