AI FEATURES - TERMS AND CONDITIONS

Ceros may offer products, features, or tools as part of the Subscription
Services that are powered by artificial intelligence, machine learning, or
similar technologies (collectively, "AI Features"). The terms in this section
govern your use of the AI Features within the Subscription Services and are
thereby incorporated into and made a part of your Agreement with Ceros. In the
event of any conflict between the Subscription Agreement and these AI Features
Terms, the AI Features Terms shall prevail, but only with respect to the AI
Features.. Any capitalized terms not defined herein shall retain the definitions
provided in your Agreement. 



The AI Features may be provided to you as a Beta Service, and if so, Ceros’ Beta
Terms and Conditions also apply. 



Some AI Features in your account may be on by default; you can adjust these
settings at any time by contacting your dedicated Customer Success Manager. If
you have any questions or concerns about AI Features you may  reach out to your
Customer Success Manager and/or legal@ceros.com. 




1. Content.

1.1. It is important for you to check AI-generated content for accuracy and to
follow the applicable terms and conditions and your Agreement with Ceros when
utilizing Output (as defined below). Output may not be accurate or reliable and
that you should independently review all Output before using or sharing it.
Using AI Features to create, upload, or share content that violates third-party
copyright, trademark, privacy, publicity, or other rights is prohibited. You are
responsible for all content that you use, including any text, images, or other
content that you upload or submit to the AI Features (“Input”), and any text,
images, or other content generated by the AI Features based on your Input
(“Output”). Your Input and Output are collectively referred to as “Content.”



1.2. You will ensure that your use of the AI Features, including your Content,
complies with the Agreement and with applicable law. 



1.3. You acknowledge that, except to the extent it is Customer Data (as defined
in the Agreement), Input will not be treated as Confidential information, and
therefore, you should not include any data or information in your Input that
you’re restricted from using or sharing. If you choose to include Personal
Information in your interactions with AI Features, like your name and job title,
all data collected by Ceros as a result of your interactions with AI Features
will be done so in accordance with our Privacy Policy and will be shared with
our AI Service Providers (Sub-processors). Output will also not be considered
Confidential Information, except to the extent it contains Customer Data. 



1.4. Ceros will not send any Customer Data to any other third-party to train
their own AI application and will not use any Customer’s Content to supply our
services to other customers. 



2. Ownership. 

2.1. Subject to the terms and conditions of the Agreement, as between the
parties and to the extent permitted by applicable law, you retain all rights you
may have to use and exploit your Output. Ceros retains all ownership in and to
the AI Features. 



2.2. This means you can use your Output for any lawful purpose in accordance
with these Terms and Conditions and the Agreement. You may not use your Output
for any unlawful, defamatory, or malicious purpose. Your ownership of your
Output does not include the right to:

 * Use trademarks, logos, or brands that appear in Output,
 * Use works of art or authorship that appear in Output, or
 * Compile Output from AI Features to replicate a similar or competing service.

 2.3. You acknowledge that Output may not be unique across users and AI Features
may generate the same or similar Output for you as well as another customer.
Other users may have similar Inputs and receive the same Output. Responses that
are requested by and generated for other customers are not considered your
Content. 

3. AI Service Providers. Some elements of the AI Features are provided through
third party service providers (“AI Service Providers”). You acknowledge that
your Content will be shared with and processed by our AI Service Providers, to
enable your use of our AI Features. You can access a list of our AI Service
Providers here: Sub-processors. 



4. Availability. We do not guarantee the availability of the AI Features in any
or all geographical areas. Notwithstanding anything to the contrary in these
Terms and Conditions or the Agreement, any downtime impacting the availability
of AI Features that results from a failure of a third party service provider
will not be included in our Availability commitment.



5. Modifications. We may make any changes to the AI Features provided to you
during the Term or change the limits that apply to you at any time in our sole
discretion. 



6. Indemnification. Ceros is not agreeing to indemnify you as part of your use
of AI Features. Output may be inaccurate or misleading, or otherwise reflect
content that does not represent Ceros’ views; use your judgment to review and
validate Output.

 7. Disclaimer. AI FEATURES ARE PROVIDED “AS IS.” EXCEPT TO THE EXTENT
PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES
(EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO AI FEATURES, AND
DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY,
NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY
COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE AI FEATURES WILL BE
UNINTERRUPTED, ACCURATE OR ERROR FREE.
