PURCHASE TERMS:

This Order is customized for the person or entity identified above (hereinafter
“Customer”, “you” or “your”) by 3Play Media, Inc. (hereinafter “3Play Media”
“us”, “we” and “our”) based on our understanding of your needs for services,
turnarounds, and content volume based on the information you have shared with
us.

 * All fees set forth are in USD.
 * All services are governed by our standard terms and conditions, unless the
   parties have executed a separate master services agreement governing this
   Order and the Services, in which case this Order shall be subject to the
   terms of that agreement. Capitalized terms used and not defined in this order
   shall have the meaning set forth in the standard terms and conditions.
 * Capitalized terms used but not defined herein shall have the meaning set
   forth in the applicable agreement.
 * The fee amount described above represents an estimate for Pay-As-You-Go
   Services. Except as otherwise expressly set forth in the Agreement, there are
   no refunds of any amounts paid, even if early termination occurs.
 * All fees are invoiced monthly in arrears and are due and payable within 30
   days of the invoice date.
 * All fees listed above are estimates only. Actual fees charged are based on
   the specific Services actually ordered.
 * When ordering via the 3Play Media Portal, you may select the specific
   Services requested for each Source Material.
 * If you order any additional or add-on Services or upgraded turnaround times
   not identified in this Order, additional fees apply. Please see our Pricing
   List for pricing for all Services and turnaround time options.
