Candidate Verification Center Addendum

CLIENT: EXT100 - Exeter Finance LLC



This Addendum (“Addendum”) to the Professional Solutions User Agreement &
Certification or the applicable service agreement (“Agreement”) is made and
entered into on the date of Client’s signature below (“Effective Date”) by and
between Verified Credentials, LLC (“Verified”) and Client. Unless otherwise
defined in this Addendum, capitalized words in this Addendum carry with them the
meaning prescribed in the Agreement.
WHEREAS, Verified provides background screening services to Client; and
WHEREAS, in conjunction with Verified providing its services to Client, Client
desires to use Verified’s customizable Candidate Verification Center platform
(“CVC”) to allow its candidates and employees to initiate, track, and access
their background reports.
NOW, THEREFORE, in consideration of the foregoing premises and for good and
valuable consideration, the receipt and sufficiency of which Client
acknowledges, Client agrees as follows:
1. Modification, Conflict, Ambiguity, and Precedence. Except as stated herein,
this Addendum does not modify, revoke, or supersede the Agreement, and the
Agreement remains in full force and effect. In the event of a conflict or
ambiguity between any of the following, the order of precedence stated herein
shall apply: (1) any applicable Statement of Work; (2) applicable Terms of Use;
(3) this Addendum; and (4) the Agreement.
2. Scope. Verified provides the CVC to Client as a Software-as-a-Service. The
CVC is a standalone technology solution that seamlessly integrates with
Verified’s background screening services. Client acknowledges, however, that use
of the CVC is strictly voluntary and is not required for Verified to provide its
background screening services.
3. CVC Services and Acceptable Use. Subject to the terms of this Addendum, which
incorporates by reference the Agreement, Verified grants Client a limited,
revocable, non-exclusive, non-assignable, and non-transferrable license to use
and customize its CVC.
Prior to activating Client’s CVC or implementing subsequent changes to Client’s
CVC, Client will complete the attached Schedule A to this Addendum and email the
following to Verified at businesssolutions@verifiedcredentials.com: (1) Schedule
A, (2) Client’s content and preferences, (3) Client’s documents, and (4)
Client’s other requirements and information (collectively, “Client Content”).
In general, the Client Content determines the following:
 * The look and branding of Client’s CVC (e.g., images, logos, colors of
   buttons, icons, typeface of text and other similar aesthetic elements of
   Client’s CVC);
 * The subdomain name of the website address of Client’s CVC (e.g.,
   [clientname].candidatecenter.com);
 * The sections and questions used to collect candidate or employee information
   in Client’s CVC for the background screening process;
 * The requirements and scope of the candidate or employee information being
   collected in Client’s CVC (e.g., number of years of employment history,
   address history, types of degrees, and other requirements and scopes);
 * Client’s custom written content displayed to its candidates or employees in
   various sections throughout its CVC (e.g., extra instructions for data
   collection and other similar custom communications to Client’s candidates and
   employees);
 * The Client’s documents to be presented to candidates and employees for their
   review and/or acknowledgment including by not limited to disclosures,
   authorizations, other legal documents, policy documents, and any other
   documents Client requests be published to its CVC (“Client Documents”), along
   with the Client Documents’ style, text, typeface, font, and font size; and
 * The rules that determine what Client Documents are to be presented to a
   candidate or employee and in what order (e.g., publish a certain Client
   Document every time, present a disclosure relevant to a certain state only if
   the candidate currently lives or works in that state and other similar rules
   unique to each document or candidate).

The attached Schedule A to this Addendum outlines the Client Content (excluding
Client Documents) that Client approves for its CVC as of the Effective Date.
Client may, at any time while this Addendum remains in effect, request changes
to its Client Content by emailing Verified at
businesssolutions@verifiedcredentials.com. Each time Client requests changes to
its Client Content, it is understood that Client has approved said changes.
Verified will make reasonable efforts to accommodate Client’s requested changes
to the Client Content, but Verified makes no guarantee that every change can or
will be made. Certain changes may be subject to additional fees or charges, and
may require additional time to implement depending the complexity. Verified will
provide Client with a revised Schedule A after implementing any requested
changes to the Client Content.
4. Conditions and Limitations of Use. Client agrees that its use of the CVC is
conditioned upon the following terms:
 * Client agrees that the Client Content shall not be unlawful, offensive,
   indecent, defamatory, vulgar, obscene, pornographic, invasive of another’s
   privacy, or otherwise objectionable.
 * Client certifies that the Client Content, including the Client Documents,
   complies with all applicable federal, state, and local laws, including but
   not limited to the Fair Credit Reporting Act. Client further acknowledges
   that it has either consulted, or had the opportunity to consult, with counsel
   to ensure the Client Content complies with applicable law and the terms of
   this Addendum.
 * Client acknowledges and agrees that Verified bears no responsibility or
   liability for the Client Content, and Verified is in no way responsible for
   reviewing, examining, or evaluating the Client Content, including the Client
   Documents.
 * Client acknowledges and agrees that it retains all legal obligations,
   responsibilities, and liabilities relating to the Client Content and Client’s
   use of the CVC, including but not limited to any legal obligations Client may
   have to provide disclosures and authorizations as part of the background
   screening process. Client’s use of the CVC, and the Parties acceptance of the
   terms in this Addendum, shall not be construed as delegating any of Client’s
   legal obligations to Verified.
 * Client acknowledges that Verified may decline publishing, posting, or hosting
   any Client Content on the CVC and that Verified may modify or delete any
   Client Content already published, posted, or hosted on the CVC if such Client
   Content violates the terms of this Addendum.
 * Client acknowledges and agrees that the Client Content shall not infringe,
   misappropriate, or violate any third party’s intellectual property rights,
   including a third party’s patent, trademark, copyright, trade secret, moral
   right, or other proprietary rights.

5. Intellectual Property Notices. By requesting that Verified publish Client
Content to the CVC, Client hereby grants to Verified a perpetual, worldwide,
irrevocable, unrestricted, non-exclusive, royalty-free license to use, copy,
license, sublicense, display, adapt, distribute, display, publicly perform,
reproduce, transmit, modify, edit, and otherwise exploit such Client Content for
Verified to provide the services set forth in this Addendum. Client represents
and warrants that it is either the sole and exclusive owner of the Client
Content or that it has authority to grant Verified the license in this Paragraph
to such Client Content.
6. Indemnification. Client agrees to indemnify, defend, and hold harmless
Verified and its officers, directors, shareholders, employees, independent
contractors, vendors, agents, and insurers from and against any and all damages,
penalties, losses, liabilities, judgments, settlements, awards, costs, and
expenses (including reasonable attorneys’ fees and expenses) arising out of or
in connection with any claims, assertions, demands, causes of action, suits,
proceedings or other actions, whether at law or in equity, against them arising
out of or related to Client’s CVC, including but not limited to: (1) the Client
Settings; (2) the Client Documents, including Client’s disclosures and
authorizations; (3) Client’s use of the CVC to provide or administer Client
Documents to Client’s candidates and employees, including the disclosures and
authorizations process; (4) the validity or enforceability of electronic
signatures on Client Documents; and (5) the use of electronic devices (e.g.,
mobile phones, tablets, laptops, personal computers) by Client’s candidates and
employees to access Client’s CVC.
7. Termination. This Addendum remains in effect as of the Effective Date and is
ongoing until termination, which occurs upon five business days’ written notice
by either party; provided, however, that if either Party materially breaches
this Addendum, the non-breaching party may immediately terminate this agreement.
