English Refer JobsUpload CVsBlog English For Employers Register Login RECRUITER TERMS AND CONDITIONS Download TERMS AND CONDITIONS ON THE USE OF JOBSREFER PLATFORM FOR RECRUITERS IMPORTANT: Please read the following Terms And Conditions ("Terms","Terms And Conditions") carefully before using the Jobsrefer Platform at http://www.jobsrefer.com (The"Service"). Jobsrefer is operated by 9cv9 Pte.Ltd. (Singapore registered business license: 201707623H) ("Us", "We", Or "Our" Or “The Company”). We provide users with information and methods to refer and recommend candidates for our business Clients that are looking to hire, but we do not and do not intend to offer recruitment services in any form on this platform. By registering, accessing or using our services, you agree to enter into a legally binding contract with Jobsrefer or for this matter with 9cv9 Pte. Ltd. (even if you are using our Services on behalf of a company or another individual). If you do not agree to this contract (“Contract” or “User Agreement”), do not click “Register”, “Login” (or similar) and do not access or otherwise use any of our Services. If you wish to terminate this contract, at any time you can do so by closing or deleting your account and no longer accessing or using our Services. However, any obligations from using our Services previously still applies. We reserve the right to amend the terms and conditions of this Agreement and company policies of relevance to Our services whenever deemed appropriate. Amendments made to the terms and conditions take effect immediately once the revised terms and conditions has been posted, or when you accept and confirm the amended Terms and Conditions. Prior to a modification or revision in these terms and conditions, we will provide prior Notice to any new terms taking effect if a revision constitutes a material change. What constitutes a material change will be determined at our own discretion. Revisions will be indicated by changes to the last-updated date at the top of this article. You are personally liable to check the terms and conditions regularly and determine whether you consent to any revisions made prior to using our services. Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular. Clause and paragraph headings shall not affect the interpretation of this Agreement. DEFINITION Referred candidate: Someone who is looking for a full-time, part-time job or project and is referred by you or a Recruiter or a Referrer. Company: Jobsrefer by 9cv9 Pte. Ltd. Client: Clients of the Company Guarantee Period: 60 calendar days Recruiters: Users who are using or have used our platform to refer candidates for job or project hiring purposes. Successful Referral: A successful referral happens when the referred candidate is hired and have passed the guarantee period (with both the start and end day included). For example, if the candidate is hired on the 1st of January, the referral is successful if the referred candidate remains hired as on the 1st March 2019 end of day (assuming there is a 28th of February). 1. PERSONAL INFORMATION SECURITY AND DATA PRIVACY 1.1. Provision of Personal Information and Service Denial You are not obliged to share any personal information. However, omitting certain information results in an incomplete use of The Service and We may deny you from using the service if the information you provide is deemed insufficient. 1.2. Use of Service If you wish to use our product(s) or service(s) made available through The Service (“Service”), you may be asked to provide certain personal information relevant to your referral including, without limitation, your name, address, and other personal details, and the personal and private information of your referred candidates. 1.3. Links to Third-Party Sites Our Service May Contain Links To Third-Party websites or services that are not owned or controlled by the Company. In these cases, we has no control over and assumes no responsibility for the content, practices or privacy policies of such third-party websites. we will not be held liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services. 1.4. Changes in Personal Information If there are any changes to the personal information you have provided us e.g. change in email address, physical address, phone number, bank account details etc., you are to update our information on our system. 2. RESPONSIBILITIES, RIGHTS & ROLES 2.1 Responsibilities, Rights & Roles of Jobsrefer Jobsrefer will, to the best of its ability, provide support and monitor the progress of candidates during the recruitment process and ensure, at all times, the absolute and full confidentiality of all parties involved. As the provider of this service, The Company will intervene, whenever deemed necessary, to address conflicts and disputes between users and clients, if and when the need arises. The Company will participate in the hiring process but not limit to set up an interview with your referral(s), send technical test to your referral(s) and other necessary hiring process deemed to be required by the Company’s clients. 2.2 Responsibilities, Rights & Roles of The User 2.2.1 The Service allows you to post, link, store, share, and otherwise make available certain information in certain formats (text, graphics, videos, or other material (“Content”)) at your own discretion. You are responsible for the content you post on our website. 2.2.2 It is your sole responsibility to screen and ensure that the contact details of your referral(s) are correct before submitting them onto the platform. The Company will not be held liable in the case where you have neglected to check and to redact contact information of your referral(s). 2.2.3 The Company shall not be held liable if you have provided the wrong, or missing information to the Clients. Any wrong, missing information is subjected to the Client’s discretion to pursue any legal actions. You shall agree to indemnify and compensate us for all legal liabilities in the event that such legal actions are initiated. 2.2.4 You reserve the right to track for your referral(s) progress by using our system or get help from the Company. In the event that the Company is alerted by a referee that he/she has not consented to being represented by you, we will cease all referral activities carried out by you on the platform to ensure the privacy of all individuals. We will also review such offenses on a case-by-case basis and issue penalties if and when deemed appropriate. 2.2.5 You will be responsible for your personal income tax. 2.2.6 All candidates referred shall have a validity period of one year from the date of referral (12 celendar months), after this period, the application and information of your hired candidate(s) will disappear in your account on our system. In case you want to re-refer this candidate, you need to upload this candidate information again to your account and start referring to a new loop of candidate ownership. 2.2.7 You shall not refer yourself to a job hiring. You shall find a Recruiter who can refer you to a position you would like to apply or we can help you choose a Referrer in case you do not have. 3. FEES & TERMS OF PAYMENT 3.1 Referral Rewards The referral rewards will be stated clearly on the platform for each job, and any successful referral for the job shall be paid to your bank account as stated on your account in two time of payments: The first time you will receive 30% of your commission within seven (07) working day in the first week of the following month after 15 days of guarantee period of your referred candidate. The second time you will receive 70% of your commission within seven (07) working day in the first week of the following month after 2 months of guarantee period of your referred candidate. The referral rewards shall be subjected to prevailing local government and withholding taxes and be transferred net of all taxes, bank charges to complete the transaction legally. The payment will be paid via our money transfer partner: Transferwise straight into your bank account. For more information, please see how Transferwise works here. 3.2. Fee/Reward Disputes To dispute any discrepancies in fees/rewards, an electronic complaint must be submitted to Jobsrefer or hello@jobsrefer.com within 7 working days from the date of receiving the commission. Failure to do so might mean that your dispute will not be addressed. 3.3. Cost incurred All costs incurred by you in the sourcing or screening of the Candidates shall not reimbursed by the Company. You shall not make any representation to the Candidate that the Company is reimbursing for any cost of hiring, i.e., to travel for interviews, tests, etc. 3.4 Consideration from the Candidate You shall agree that you shall not receive any cash, monetary benefits or consideration of any nature from the candidate for the referral and hiring. Failure to adhere shall subject to your account termination and closure. 3.5 Non Payment In the event that the Client did not pay the Referral Fee, the Company shall have no obligation to pay the commission. We can only pay the Commission if and only if the Client pays the Commission Fee. In this event, we will share that this event has occurred and we will advise on the next legal steps to claim the fee. 4. NO POACHING 4.1 By using our Services, you shall not have the right to actively contact the Clients directly by any means. All communication has to go through our platform. Any breach of this clause shall grant us to terminate your account with immediate effect and to pursue legal damages. You shall agree to pay damages as deemed fit by the court or if no amount is stated, to be set at Ten Thousand United States Dollars (USD 10,000). 4.2 You shall not have the rights to actively poach the Clients directly or indirectly. All Clients that you have knowledge of by the usage of the platform is the customer list property of the Company and you shall not attempt to make contact with or sign another separate hiring agreement with them. Any breach of this clause shall grant us to terminate your account with immediate effect and to pursue legal damages. You shall agree to pay damages as deemed fit by the court or if no amount is stated, to be set at Ten Thousand United States Dollars (USD 10,000). 4.3 For your referred Candidate(s) that were successfully referred (“Successful Referral”), you shall not actively refer other Full-Time Jobs or Internships to the Successful Referral(s) in a time frame not exceeding One-Year Employment Period, if and only if the your referred Candidate(s) fulfill all the following conditions: 4.3.1 Referred Candidate(s) remain employed on a full-time basis with our Clients throughout a One-Year Employment Period. 4.3.2 Referred Candidate(s) original employment contract is not terminated or switch to other type of employment at any point during the One-Year Employment period. 4.3.3 Referred Candidate(s) is not seconded to other unaffiliated, third-party companies at any point during the One-Year Employment period. 5. UNIQUE REFERRALS You shall be entitled to the Commission in accordance with Clause 3.1 only in respect of unique candidates i.e. a candidate who upon initial submission by you that: 5.1 Has not been previously brought to the attention of the Company or Client by another recruiter, 5.2 Or the candidate himself/herself 5.3 Or discovered by the Company or Client, as a result of our own independent recruiting efforts. It is understood and agreed that in the event of the Company or Client receiving resumes or any other information in respect of the same candidate from you as well as any other sources, the Company or Client will consider the one which was received by it first as the source of the candidate. The decision of the Company or Client will be final and binding in this regard. 6. CONFIDENTIALITY 6.1 Unless having obtained prior written permission from the other Party, both Parties undertake that they shall not divulge or make known to any other person or use for the benefit of itself or any other person, persons or corporation the use of any of the confidential information of the project. 6.2 Confidential information generally refers to information not available to the public, and includes: 6.2.1 Customer Lists and details; 6.2.2 Trade secrets; 6.2.3 Information technology details, information and concepts; 6.2.4 Business concepts and plans; 6.2.5 Financial information; 6.2.6 Project deal sizes, payments and costs; 6.2.7 Employee lists and details; 6.2.8 Information known to both Parties to be confidential; 6.2.9 Information which may affect the competitive position of both Parties; and 6.2.6 Any information both Parties is obligated not to disclose. 7. EMPLOYEES OF JOBSREFER AND 9CV9 This Terms and Conditions for User shall not be applied to all employees, part time or full time and internship that are under the employment contract of Jobsrefer or 9cv9 or any of their associate companies or subsidairies. 8. APPLICABLE LAW This Agreement shall be governed by and construed in accordance with Singapore law. Any dispute arising out of or relating to this Agreement shall first be resolved amicably. If this fails, in relation to any legal action or proceedings arising out of or in connection with this Agreement, the Parties hereby irrevocably submit to the non-exclusive jurisdiction of the courts of Singapore. 9.
