Terms of Use, General Terms and Authorizations

1. Terms of Use

1.1. By using Pakistan Mobile Communication Limited’s (hereinafter referred to
as “Jazz”) products and services through Jazz Business World Application,
defined below, you agree to these Terms of Use, Authorizations, General Terms
and any Service Specific Terms (collectively referred to as “Terms”). Please
read them carefully.

1.2. The following Terms of Use and Privacy Policy as published on our website
govern your access to and use of the Jazz Business World Application, Jazz
services and any information sent, received, stored or otherwise appearing on
the application developed by Jazz including its services (“Jazz Business World
Application”). The information we collect is controlled by Jazz. In case of
conflict between the documents, these Terms will take precedence over the terms
stated in the Terms and Privacy Statement.

1.3. SERVICE

1.3.1. Service(s) means services, either customized or otherwise, provided by
Jazz, its Partner(s) and/or Services Provider(s) on or through Jazz Business
World Application, from time to time, within the Territory of Pakistan, AJ&K and
Gilgit-Baltistan (“Territory”).

1.4. PRIVACY NOTICE

1.4.1. When you login to your account on Jazz Business World Application, Jazz
requires your company’s registered mobile phone number. You are responsible for
providing and maintaining accurate and updated personal information, and for
safeguarding your account information including mobile number, email address
details on behalf of your company. We understand you have authorized Jazz to
share your mobile phone number and/or email with Jazz to verify and
authenticate, at any time, your provided mobile number. Jazz will not be liable
for any loss or damage arising from your failure to comply with the requirements
of Jazz, its Partners and/or Service Providers. For more information or to lodge

1.4.2. Where possible, you should log out from your account at the completion of
each visit at Jazz Business World Application. If you hand over a device with
the Jazz Business World Application logged in, to another individual, you should
log out from account and/or deactivate the device before doing so. If devices
with Jazz Business World Application installed are lost or stolen, you should
deactivate the account immediately.

1.5. SECURITY

1.5.1. We maintain high standards of security. We expect that you will not share
your phone, connected via our network, let anyone else access your
phone/devices, or do anything else that might jeopardize the security of your
connection. You are reminded to use your mobile devices safely.

1.6. THIRD PARTY SERVICES

1.6.1. We do not endorse any third party services. Third party providers of
websites and applications (including Jazz Business World Application) accessed
by you through the Service are accessed at your own risk, and we have no
liability for third party services. If third party websites or applications
(including Jazz Business World Application) cause any problems or harm, you
should seek redress directly from the third party provider of those services.
Third party providers of websites or applications (including Jazz Business World
Application) that you access through your Jazz’ network/ mobile phone number may
have their own terms and conditions. It is your responsibility to read and
adhere to such terms and conditions.

2. General Terms

2.1. GENERAL

2.1.1. These General Terms apply generally to the use of any or all of Jazz's
services via/through Jazz Business World Application ("Service"). Our Service is
diverse, so additional service specific terms ("Service Specific Terms") may
apply.

2.1.2. Jazz may engage or otherwise cooperate with affiliates, suppliers,
partners and other third parties in connection with the Service, and, where
applicable, the reference to “PMCL”, “Jazz” or “we” shall also be understood as
a reference to such third parties.

2.1.3. By using the Service you agree to these Terms of Use, Authorization,
General Terms and any Service Specific Terms and the Privacy Statement
(collectively referred to as "Terms").

2.2. SERVICE

2.2.1. Jazz's Service consists of digital products and/or services distributed
over the Internet to individual consumers for private use. The Services are
accessible at our websites (the "Website") and, for certain Services on your own
device(s) after you have installed it.

2.2.2. Parts of the Service may display content that is not Jazz's (including
user content, company information and usage details). Such content is the sole
responsibility of the person or entity that has made it available.

2.3. PRIVACY AND PERSONAL DATA

2.3.1. In connection with the provision of the Service, Jazz will collect and
process personal data about your company and all its users registered within the
company, and their use of the Service. Jazz's Customer Privacy Policy as amended
from time to time is available on the Jazz website. By using our Service, you
agree that Jazz can use and retain your personal data (user data) in accordance
with our Privacy Statement

2.4. USER CONTENT AND SUBMISSIONS

2.4.1. Jazz’s services and/or Jazz Business World Application may allow you to
submit, post or display content, such as information, data, text, software,
music, sound, photographs, graphics, videos, advertisements, messages or other
materials ("User Content"). You are solely responsible for such content. Jazz’
network/ mobile phone number acts as a mere conduit and Jazz has no obligation
to screen or monitor User Content. However, Jazz may review and remove any User
Content that, in its sole judgment, violates the Terms, applicable laws, or
generally accepted practices or guidelines in the Jurisdiction.

2.4.2. Prohibited User Content under the Terms includes, without limitation,
content which:

2.4.2.1 is offensive, such as User Content that engages in, endorses or promotes
racism, bigotry, discrimination, hatred, harassment or physical harm of any kind
against any group or individual;

2.4.2.2. involves the transmission of "junk mail", "chain letters" or
unsolicited mass mailing, "spamming" or "phishing";

2.4.2.3. promotes or endorses false or misleading information or illegal
activities or conduct that is abusive, threatening, obscene, defamatory or
libelous;

2.4.2.4. promotes or endorses an illegal or unauthorized copy of another
person's copyrighted work;

2.4.2.5. contains restricted or password only access pages or hidden pages or
images;

2.4.2.6. displays or links to pornographic, sexually explicit or any other
indecent material;

2.4.2.7. solicits passwords or personal data from other users; or

2.4.2.8. violates the rights of or harms or threatens the safety of other users
or the Service.

2.5. WARRANTIES AND DISCLAIMERS

2.5.1. Jazz warrants that it will perform in a professional manner in accordance
with prevailing industry standards and make reasonable efforts to keep the
required service operational.

2.5.2. The Service is provided "as is". You acknowledge that the Service is not
error-free. Jazz makes no warranties, expressed or implied, with respect to the
availability, merchantability, fitness for a particular purpose,
non-infringement, accuracy, completeness, performance and quality of service of
Jazz/Jazz Business World Application or otherwise.

2.6. LIABILITY

2.6.1. Jazz (including, but not limited to, its shareholders, executives,
officers, affiliated companies, partners and their contractors, officers,
directors and employees) shall not be liable for any damages, whether arising
under law, contract, warranty, indemnification, tort or otherwise, including,
without limitation, incidental and consequential damages, loss of profits or
business opportunities, or damages resulting from loss of data or loss of access
to the Jazz Business World Application, the Services or otherwise.

2.7. INDEMNITY

2.7.1. You agree to indemnify, defend and hold harmless Jazz (including, but not
limited to, its shareholders, executives, officers, affiliated companies,
partners and their contractors, officers, directors and employees) from all
claims, liabilities and expenses (including attorney's fees) that arise from
your misuse of services in breach of the Terms or applicable laws.

2.7.2. Jazz reserves the right to assume the exclusive defense and control of
any matter otherwise subject to indemnification by you. You shall cooperate in
good faith with Jazz in asserting any available defenses.

2.8. FORCE MAJEURE

2.8.1. Force Majeure means any circumstances beyond the reasonable control of
either party, including, without limitation, fire, explosion, strikes or other
labor disputes, riots or other civil disturbances, voluntary or involuntary
compliance with any law, order regulation, recommendation or request of any
governmental authority, and errors or downtime in networks, power supply,
gateway or similar failures of communication. Neither party will have any
liability, other than for the payment of money owing, for their failure to
perform any of their contractual obligations arising out of or in connection
with events of force majeure.

2.9. TERMINATION

2.9.1. Jazz may also stop providing service to you, or add limits to your
service, if you act in breach of the Terms or applicable laws, your right to use
service and access its content will in any event immediately, without notice,
terminate without refund of any fees.

2.10. CHANGES

2.10.1. We may also update or otherwise amend the Terms, for instance to reflect
changes to the Service or changes to the law.

2.10.2. We will publish any amended Terms on our Website at
http://www.jazz.com.pk/business. Your continued use of Jazz’s service after such
publication or notification is considered as an acceptance of the amended Terms.
We encourage you to check the Website regularly. If you not agree to the
amendments, you should discontinue your use of the Service.

2.11. SEVERABILITY

2.11.1. If any provision of the Terms is declared invalid or unenforceable by a
court or other binding authority, the remaining terms (or parts), conditions and
provisions shall continue to be valid and enforceable to the fullest extent
permitted by law.

2.12. LANGUAGE VERSIONS

2.12.1. Any translations of the Terms from English into another language are
made solely for your convenience. In the event of discrepancies between
different language versions, the English version shall prevail.

2.13. CHOICE OF LAW AND DISPUTE RESOLUTION

2.13.1. The Terms shall be governed by and interpreted in accordance with
Pakistan laws. Any dispute, controversy or claim arising out of or in connection
with the Terms shall be subject to the jurisdiction of the Pakistani courts at
Islamabad.

3. Authorizations

3.1 In relation to my personal data/information held/maintained with Pakistan
Mobile Communications Limited (“PMCL” or “Jazz”), I, hereby, give consent,
permit and authorize PMCL to:

share, deliver, provide and process, all or any, information requested by Jazz,
its Affiliates, Service Providers and/or Partners, from time to time, for
provisioning of customized services being offered by Jazz, its Partners, and/or
Jazz from time to time; collect communications metadata from the chat, SMS,
voice, media, cookies, browsing history – e.g., who you called or chatted with,
to provide you with value added services such as promotion, marketing, card
(credit/debit) payments processing and payouts etc.; collect information about
my location based on the Global Positioning System (GPS) of my device when Jazz
Business World Application is running in the foreground or background and/or
collect cell ID location information about me (together, “Location
Information”); use my Location Information to provide me with customized
telecommunications related services and offers by Jazz, partners, service
providers and/or Jazz; being partner of Jazz, receipt of exclusive offers from
Jazz. When we receive your consent, we will share your sign-up information, chat
information, general usage information, Location Information, information from
our profiling processes, transaction information and information from other
third parties with them so that they can send me mobile and other offers via
Jazz Business World Application or via SMS, email, telephone or mail. sending,
me and my contacts, information about the Jazz services, such as service
announcements and administrative messages, by SMS, email or other means of
electronic communication, by posting a notice on the website, or through any
other relevant communication channels sending, me and my contacts, promotional
information by SMS, email or other means of electronic communication. I may opt
out of such communication. Jazz services my allow me to submit, post or display
content, such as information, data, text, software, music, sound, photographs,
graphics, videos, advertisements, messages or other materials (“User Content”).
I am solely responsible for such content. Jazz acts as mere conduit and has no
obligation to screen or monitor User Content. However, Jazz may review and
remove any User Content that, in its sole judgment, violates the Terms,
applicable laws, or generally accepted practices or guidelines in the relevant
jurisdiction; using Jazz and/or Jazz services through Jazz Business World
Application, I agree and specifically authorize Jazz to use my personal data;
may each of Jazz, its Partner and PMCL use and process my such information to
give me personalized services and benefits; use any of my such information to
create aggregated and anonymized insights and reports collect, share, use and/or
process all information about what services I purchase via Jazz Business World
Application for value added services including marketing, payouts etc.

3.2 I, hereby, agrees to indemnify Jazz and to keep it always indemnified
against all claims, demands, dues, costs, expenses, losses and damages that may
be claimed from or paid by Jazz in respect of matter contemplated above.

3.3 I, hereby, acknowledges and affirms that above mentioned consents and
authorizations have been given freely, and voluntarily and without duress, undue
influence, compulsion or coercion of any kind or nature, whatsoever, with full
knowledge and understanding of its provisions as well as legal impacts.
