(b) With respect to clients of Scotia Capital (USA) Inc., the laws of New York
shall apply to this site and its use by such a user, without regard to its
conflict of law rules. Any action brought by such a user must be brought in the
federal or state courts located in Manhattan, City of New York. Such a user
consents to the jurisdiction of such courts.

to any third party. Use of the S&P Service shall only be by employees of User
and solely for internal business purposes or personal, non-commercial use.
·         User agrees to not use or permit anyone else to use the S&P Service to
create any securities products or indices based on the S&P Service or any
portion thereof.
·         User agrees to treat the S&P Service as proprietary to S&P and MSCI,
Inc. (MSCI).User acknowledges that MSCI and S&P are the sole and exclusive
owners of the S&P Service (including all trade secrets, copyrights, trademarks
and other intellectual property rights in or to the S&P Service).
·         User agrees to not: (i) alter, modify or adapt any component of the
S&P Service, including, but not limited to, translating, decompiling,
disassembling, reverse engineering or creating derivative works; or (ii) use the
S&P Service to verify the accuracy of other data or to correct such other data;
or (iii) resell or otherwise transfer or make the S&P Service, or any part or
component thereof, available to any other person or organization (including,
without limitation, the User's present and future parents, subsidiaries or
affiliates) directly or indirectly, for any of the foregoing or for any other
use, including, without limitation, by loan, rental, service bureau, external

discretion and at any time, terminate the User’s right to receive and/or use the
S&P Service; and (ii) provision of the S&P Service is subject to termination in
the event that the relevant agreement between Scotiabank and MSCI or S&P is
terminated in accordance with its terms.
·         User agrees that S&P or MSCI as a third party beneficiary of these
Terms and Conditions is entitled to enforce all provisions of such agreement
relating to the S&P Service.
